 ELECTRONIC LICENCE AGREEMENT ON ACCESSION for the use of a work under open access terms

The Research Centre for Industrial Problems of Development of the National Academy of Sciences of Ukraine (hereinafter - the Licensee), being the founder of the international scientific journal Business Inform (hereinafter - the Journal), registered as a legal entity at: 1a Inzhenernyi Lane, Kharkiv, 61001, Ukraine, in accordance with Articles 205, 207, 634, 641, 642 of the Civil Code of Ukraine and Article 48 of the Law of Ukraine On Copyright and Related Rights, publishes this Agreement as a public offer.
1. DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set out below:
Work – an original scientific article (manuscript) submitted by the Licensor(s) for consideration and publication in the Journal.
Licensor(s) - the author or co-authors who hold the economic intellectual property rights to the Work. Where the Work has multiple authors, the term Licensor encompasses all co-authors, and the corresponding author acts on behalf of all co-authors and is responsible for obtaining their consent to the terms of this Agreement.
Licensee - the Research Centre for Industrial Problems of Development of the National Academy of Sciences of Ukraine, founder of the Journal.
Journal - the international peer-reviewed scientific journal Business Inform, ISSN 2222-4459 (print), ISSN 2311-116X (online), published under state registration certificate KV No. 19905-9705 PR dated 02.04.2013.
Non-exclusive licence - a licence that does not preclude the Licensor(s) from using the Work themselves or granting licences for the use of the Work to other persons.
CC BY-SA 4.0 Licence - the Creative Commons Attribution-ShareAlike 4.0 International licence, the full text of which is available at: https://creativecommons.org/licenses/by-sa/4.0/legalcode.
Open Access - the provision of online access to a published Work without financial, legal or technical restrictions, in accordance with the Budapest Open Access Initiative (BOAI).
Acceptance - the full and unconditional acceptance by the Licensor(s) of the terms of this Agreement by submitting the Work to the editorial board of the Journal.
All other terms used in this Agreement shall have the meanings defined in the Civil Code of Ukraine and the Law of Ukraine and Related Rights.
2. ACCEPTANCE OF THE AGREEMENT
2.1. This Agreement is an adhesion contract within the meaning of Article 634 of the Civil Code of Ukraine. The Licensor may not propose alternative terms.
2.2. Acceptance of this Agreement constitutes the act of submitting the Work to the editorial board of the Journal by any means - by email, through a manuscript submission system, or otherwise. From the moment of submission, the Agreement shall be deemed concluded without execution of a separate instrument in each individual case. The date of conclusion of the Agreement shall be the date of submission of the Work.
2.3. Upon a written request from the Licensor, the Licensee shall provide a signed copy of this Agreement in writing.
3. SUBJECT MATTER OF THE AGREEMENT
3.1. The Licensor(s) grant(s) the Licensee a non-exclusive licence to use the Work under open access terms in accordance with the Creative Commons Attribution-ShareAlike 4.0 International (CC BY-SA 4.0) licence, specifically the right to:
- reproduce the Work in electronic (digital) and/or print form;
- publish the Work in the Journal;
- include the Work as a component in collections, databases, bibliometric systems, repositories and other scholarly resources;
- distribute the Work;
- provide unlimited and free online access to the Work by placing it on the official website of the Journal (www.business-inform.net) and related platforms;
- transmit the Work to international bibliometric databases, repositories and search engines in which the Journal is indexed;
- translate the metadata of the Work (title, abstract, keywords) into other languages for indexing purposes;
- grant sub-licences for the use of the Work to third parties under the CC BY-SA 4.0 licence.
The licence is granted for an indefinite term, is royalty-free and extends to all countries of the
world.
3.3. The grant of the licence does not limit the right of the Licensor(s) to further use the Work or to grant licences for its use to third parties, provided that the terms of the CC BY-SA 4.0 licence are observed and that the first publication in Business Inform journal is acknowledged.
3.4. The Licensor(s) retain(s) the right to deposit the Work in open repositories (institutional, thematic or national) after its publication in the Journal, provided that a reference to the original publication and the DOI of the article are indicated.
4. REPRESENTATIONS AND WARRANTIES OF THE LICENSOR
By submitting the Work to the editorial board of the Journal, the Licensor(s) represent(s) and warrant(s) that:
4.1. Originality. The Work is the Licensor's(s') original scientific work, independently created. The Work contains no borrowings without proper attribution.
4.2. No Prior Publication. The Work has not previously been published in print or electronic form (including in journals, collections, preprint servers, etc.) in any language, and is not under consideration by any other publication.
4.3. Lawfulness. The Work does not contain any material that infringes copyright, intellectual property rights or other rights of third parties. All third-party materials used in the Work (quotations, illustrations, tables, etc.) have been used lawfully with appropriate references or permissions.
4.4. Authorship. All persons listed as authors have made a substantial contribution to the creation of the Work in accordance with recognised authorship criteria. Persons who do not meet these criteria have not been included in the authorship. The corresponding author has obtained the consent of all co-authors to the submission of the Work and to the terms of this Agreement.
4.5. Conflict of Interest. The Licensor(s) has(have) disclosed in the Work all financial and non-financial interests that could have influenced the research results or their interpretation, or confirm(s) the absence of such a conflict.
4.6. Funding. The Licensor(s) has(have) indicated in the Work all sources of funding for the research, or confirm(s) that the research received no external funding.
4.7. Use of Artificial Intelligence. Any use of generative artificial intelligence tools in the preparation of the Work has been properly disclosed in accordance with the Journal's AI Use Policy, or it is confirmed that no such tools were used.
4.8. Research Involving Humans or Animals. Where the research involved human participants or animals, all necessary approvals and procedures have been obtained and followed in accordance with applicable legislation and ethical standards.
4.9. Rights to Publish. The Licensor(s) is(are) not aware of any rights of third parties that could be infringed by the grant of the licence under this Agreement.
5. RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Licensor(s) shall have the right to:
5.1.1. Use the Work after its publication in the Journal for any scientific, educational or personal purposes, provided that the first publication in the Journal with the DOI of the article is acknowledged.
5.1.2. Deposit the final published version of the Work (version of record) in open institutional, thematic or national repositories without embargo.
5.1.3. Use the Work or parts thereof in the Licensor's(s') own subsequent publications with a mandatory reference to the first publication.
5.1.4. In the event of a breach by the Licensee of the terms of this Agreement or applicable law - demand that the breach be remedied or suspend the operation of the licence until the breach is remedied.
5.2. The Licensee shall have the right to:
5.2.1. Use the Work in the ways specified in clause 3.1 of this Agreement.
5.2.2. Grant sub-licences for the use of the Work within the scope of the rights granted.
5.2.3. Carry out editorial and technical processing of the Work (editing, proofreading, typesetting, translation of metadata) without altering the scientific content.
5.2.4. Retract the Work from publication in accordance with COPE recommendations if serious violations of research ethics or academic integrity are identified.
5.3. The Licensor(s) shall:
5.3.1. Submit the Work in accordance with the article requirements published on the Journal's website.
5.3.2. Respond to the editorial board's requests in a proper and timely manner during the consideration and preparation of the Work for publication.
5.3.3. Notify the editorial board of any significant errors or inaccuracies identified in the Work, with a view to their correction or retraction.
5.3.4. In any subsequent use of the Work, include a reference to the first publication in the Journal with the DOI of the article.
5.4. The Licensee shall:
5.4.1. Conduct independent double-blind peer review of the Work in accordance with the Journal's Peer Review Policy.
5.4.2. Notify the Licensor(s) of the peer review results and the editorial decision.
5.4.3. Ensure permanent and free open access to the published Work on the Journal's website.
5.4.4. Assign a unique DOI to the Work and ensure its persistent resolution.
5.4.5. Respect the moral rights of the Licensor(s): acknowledge the name(s) of the author(s) in the form specified by them; refrain from making any changes to the scientific content of the Work without the authors' consent.
5.4.6. Maintain the confidentiality of information received in the course of reviewing the Work.
5.4.7. Preserve digital archival copies of the published Work and ensure the long-term accessibility of the publication.
6. PROCESSING OF PERSONAL DATA
6.1. By submitting the Work to the editorial board, the Licensor(s) consent(s) to the processing of their personal data (surname, first name and patronymic; institutional affiliation; contact email address; ORCID iD; academic degrees and titles) for the purposes of: editorial and publishing processing of the Work; publication of the article's metadata and author information in the Journal and on its website; transmission of metadata to international bibliometric databases and repositories in which the Journal is indexed; issuance of author certificates and confirmation of publication.
6.2. The processing of personal data is carried out in accordance with the Law of Ukraine On Personal Data Protection and is a necessary condition for the performance of this Agreement.
6.3. Personal data are transferred to third parties (international databases, repositories) solely to the extent necessary for the indexing and archiving of the publication.
7. LIABILITY OF THE PARTIES
7.1. The parties undertake to duly perform the terms of this Agreement in accordance with applicable Ukrainian law.
7.2. The Licensor(s) bear(s) full responsibility for the accuracy of the representations set out in Section 4 of this Agreement. In the event that violations are identified (plagiarism, duplicate publication, data fabrication, improper authorship, etc.), the Licensee has the right to retract the Work in accordance with COPE recommendations and to notify the Licensor's(s') employing institution.
7.3. The Licensee shall not be liable for the content of the Work, the views expressed therein or the scientific conclusions drawn — responsibility for these rests solely with the Licensor(s).
7.4. In the event of non-performance or improper performance of obligations, the parties shall be liable in accordance with applicable Ukrainian law.
8. DISPUTE RESOLUTION
8.1. The parties undertake to resolve any disputes arising in connection with the performance of this Agreement through negotiation.
8.2. Should a dispute prove impossible to resolve through negotiation within 30 calendar days of its arising, the dispute shall be referred to a court of competent jurisdiction in accordance with applicable Ukrainian law.
9. FORCE MAJEURE
9.1. The parties shall be released from liability for non-performance or improper performance of obligations under this Agreement where such non-performance results from force majeure circumstances: armed conflict, natural disasters, acts of public authorities and other circumstances arising beyond the will of the parties that make performance of obligations impossible.
9.2. A party that is unable to perform its obligations due to force majeure circumstances shall notify the other party thereof at the earliest practicable opportunity.
9.3. Following the cessation of force majeure circumstances, obligations shall be performed within a reasonable time.
10. TERM AND AMENDMENT OF THE AGREEMENT
10.1. This Agreement enters into force upon acceptance (clause 2.2) and is concluded for an indefinite term.
10.2. The Licensee reserves the right to amend the terms of this Agreement by publishing a new version on the official website of the Journal. A new version enters into force upon publication. Continued use of the Journal's website or submission of new manuscripts after publication of any amendments shall constitute acceptance of the new terms.
10.3. This Agreement is published on the official website of the Journal Business Inform (www.business-inform.net).
11. MISCELLANEOUS
11.1. This Agreement is governed by the current legislation of Ukraine, in particular the Civil Code of Ukraine, the Law of Ukraine "On Copyright and Related Rights", the Law of Ukraine "On Personal Data Protection".
11.2. If any provision of this Agreement is held to be invalid, the remaining provisions shall continue in full force and effect.
11.3. In all matters not addressed by this Agreement, the parties shall be guided by applicable Ukrainian law.
11.4. In the event of a change in the Licensee's details or contact information, the Licensee undertakes to update the relevant information on the Journal's website.
